On April 15, 2015, the 2014 annual shareholders' meeting and the fourth session of the first board of directors of Guoda Company were held as scheduled in the company's second-floor meeting room. The meeting was chaired by Mr. Xu Yongxiang, chairman of the board of directors. Representatives of the company's shareholders and all directors and supervisors attended the meeting.
The meeting first reviewed the proposals for the change of the board of directors and the supervisory board of Guoda Company and the adjustment of the management personnel. The meeting decided that the members of the fourth board of directors of the company would be: Xu Yongxiang, Sun Haofei, Yin Ruixue, Zou Laichang, and Zhang Tingkai; the members of the fourth supervisory board of the company would be: Liu Jincai, Duan Jianbo, Sun Zhongsheng, Guo Rui, and Yin Jiwen; the board of directors agreed to appoint Sun Haofei as the president of Guoda Company, and Xu Yongxiang would no longer serve as the president of Guoda Company; and agreed to appoint Sha Tao as the vice general manager of Guoda Company, and Yu Jianmin would no longer serve as the vice general manager of Guoda Company.
During the shareholders' meeting, the attending shareholder representatives studied and discussed the company's 2014 annual financial report and 2015 financial budget report, the 2014 annual work report of the supervisory board, the profit distribution plan, the method for realizing the performance-based salaries of the management, and the rules of procedure for the company's shareholders' meeting, board of directors, and supervisory board, and conducted sufficient communication and exchange on the investment plan for the company's "High-Temperature Purification Technological Transformation Project for Smelting Tailings," forming a resolution of the shareholders' meeting.
During the board of directors meeting, all attending directors reviewed the company's 2014 economic operation report, the proposal for authorizing the signing of loan and guarantee documents, the proposal for authorizing the signing of gold leasing documents, the proposal for confirming the loss of the company's scrapped assets, and the rules of procedure for the board of directors and management, and conducted sufficient research and discussion on the relevant issues, forming a resolution of the board of directors.
All attendees unanimously agreed that in 2014, under the leadership of the company's management, all cadres and employees of Guoda Company actively overcame various difficulties and maintained the steady development momentum of the enterprise, ranking among the best in the domestic industry, which is worthy of affirmation and praise. It is hoped that in 2015, the company's management will be able to face the difficulties and challenges, actively promote project construction, expand international trade, strengthen internal management, and successfully complete the various target tasks of the "double increase and double reduction" year, making new contributions to the sustainable development of the company.
