On the morning of June 5, 2020, the 2019 Annual General Meeting of Shareholders and the Fourth Meeting of the Fifth Board of Directors of Guoda Company were held in the company's second-floor meeting room. The meeting was chaired by Sun Haofei, chairman of the board, and representatives of the company's shareholders, directors, and supervisors attended the meeting.
At the shareholders' meeting, the attending shareholder representatives studied the relevant topics, including the proposal on the adjustment of board members, the company's 2019 financial settlement and 2020 financial budget, the 2019 annual report of the board of supervisors, the proposal on the authorization of signing loan guarantees and gold leasing documents, the proposal on the implementation of the new articles of association of Guoda Company, the profit distribution plan, the rules of procedure for the shareholders' meeting, the rules of procedure for the board of directors' meeting, and the rules of procedure for the supervisors' meeting. A consensus was reached and the shareholders' meeting resolution was signed.
At the board meeting, the attending directors deliberated on the company's 2019 operating status report, the proposal on the confirmation of scrapped asset losses, the proposal on the adjustment of the management personnel, and the rules of procedure for the management, reaching a consensus and forming a board resolution. The meeting agreed to dismiss Sun Demao from the position of deputy general manager.
